Content of the study
For most people involved, buying or selling a company, especially in connection with a succession plan, is not an everyday occurrence and is often a once-in-a-lifetime experience. In addition, the financial and strategic issues as well as the technical jargon often used by specialists and consultants entail a certain complexity - in the so-called ‘M&A world’ it is easy to get lost and sometimes feel like you are in a jungle.
As an expert in the construction industry and a specialist in mergers and acquisitions (M&A), S&B would like to make it easier for those involved in transaction processes with our M&A handbook by presenting the most important basics in a focussed and practical way so that the purchase or sale of a company can be tackled.
The first edition of the M&A handbook is therefore divided into three central chapters:
Chapter 1 - M&A process in brief: This chapter gives you an overview of the basic process of buying or selling a company, focussing on the actual transaction process
Chapter 2 - Selected financial concepts in the M&A process: The most important financial M&A mechanisms, such as company valuation, are explained simply and clearly here
Chapter 3 - Glossary: We would also like to prepare you for the technical jargon used by consultants and specialists that you will be confronted with, even though the handbook is written in simple terms. In the glossary you will find the most important technical terms explained again briefly and concisely
